Article R210-12 of the French Commercial code

The action to regularise the formation of the company or the amendment of the Articles of Association, provided for in Article L. 210-7, shall be brought before the Commercial Court.

The court with territorial jurisdiction is that within whose jurisdiction the company’s registered office is located.

L’action en régularisation de la constitution de la société ou de la modification des statuts, prévue à l’article L. 210-7, est portée devant le tribunal de commerce.

Le tribunal territorialement compétent est celui dans le ressort duquel est situé le siège de la société.
