Article 1304-6 of the French Civil Code

The obligation becomes pure and simple as from the fulfilment of the suspensive condition.

However, the parties may provide that the fulfilment of the condition will have retroactive effect to the day of the contract. The thing, which is the subject of the obligation, nonetheless remains at the risk of the debtor, who retains administration of it and is entitled to the fruits until the condition is fulfilled.

In the event of failure of the suspensive condition, the obligation is deemed never to have existed.

L’obligation devient pure et simple à compter de l’accomplissement de la condition suspensive.

Toutefois, les parties peuvent prévoir que l’accomplissement de la condition rétroagira au jour du contrat. La chose, objet de l’obligation, n’en demeure pas moins aux risques du débiteur, qui en conserve l’administration et a droit aux fruits jusqu’à l’accomplissement de la condition.

En cas de défaillance de la condition suspensive, l’obligation est réputée n’avoir jamais existé.
