Article 1831-2 of the French Civil Code

The contract empowers the developer to enter into contracts, receive work, settle contracts and generally to perform, up to the overall agreed price, on behalf of the project owner, all acts required for the completion of the programme.

However, the developer does not bind the project owner, by the loans it takes out or by the acts of disposal it enters into, except by virtue of a special mandate contained in the contract or in a subsequent act.

The project owner is bound to perform the commitments entered into in its name by the developer by virtue of the powers the latter has by law or by agreement.

Le contrat emporte pouvoir pour le promoteur de conclure les contrats, recevoir les travaux, liquider les marchés et généralement celui d’accomplir, à concurrence du prix global convenu, au nom du maître de l’ouvrage, tous les actes qu’exige la réalisation du programme.

Toutefois, le promoteur n’engage le maître de l’ouvrage, par les emprunts qu’il contracte ou par les actes de disposition qu’il passe, qu’en vertu d’un mandat spécial contenu dans le contrat ou dans un acte postérieur.

Le maître de l’ouvrage est tenu d’exécuter les engagements contractés en son nom par le promoteur en vertu des pouvoirs que celui-ci tient de la loi ou de la convention.
