The extension of the company shall be decided unanimously by the members or, if the Articles so provide, by the majority provided for the amendment of the Articles.
At least one year before the expiry date of the company, the members must be consulted for the purpose of deciding whether the company should be extended.
Failing this, any member may apply to the president of the court, ruling on a motion, for the appointment of a court agent to bring about the consultation provided for in the second paragraph.
Where the consultation has not taken place, the president of the court, ruling on a petition at the request of any member within one year of the expiry date of the company, may record the intention of the members to extend the company and authorise the consultation by way of regularisation within a period of three months, if necessary by appointing a court agent to bring about the consultation. If the company is extended, the acts that comply with the law and the Articles of Association prior to the extension are deemed to be in order and to have been performed by the company thus extended.
