Article 1872 of the French Civil Code

With regard to third parties, each partner remains the owner of the assets that he makes available to the company.

Assets acquired through the use or reinvestment of undivided funds during the term of the company and those that were undivided before being made available to the company are deemed to be undivided between the partners.

The same applies to any assets that the members may have agreed to place in undivided ownership.

It may also be agreed that one of the members is, vis-à-vis third parties, the owner of all or part of the assets that he acquires with a view to achieving the company’s object.

A l’égard des tiers, chaque associé reste propriétaire des biens qu’il met à la disposition de la société.

Sont réputés indivis entre les associés les biens acquis par emploi ou remploi de deniers indivis pendant la durée de la société et ceux qui se trouvaient indivis avant d’être mis à la disposition de la société.

Il en est de même de ceux que les associés auraient convenu de mettre en indivision.

Il peut en outre être convenu que l’un des associés est, à l’égard des tiers, propriétaire de tout ou partie des biens qu’il acquiert en vue de la réalisation de l’objet social.
