Article D214-32-7-6 of the French Monetary and Financial Code

The AIF or its management company shall inform the persons referred to in Article D. 214-32-7-5:

1° The identity of AIFs or their management companies which, either individually or as a result of an agreement concluded with other AIFs or their management companies, have acquired control of the company concerned ;

2° The policy on the prevention and management of conflicts of interest, in particular between the AIF or its management company and the company concerned, including information on measures to ensure that any agreement between the AIF or its management company and the company concerned is concluded on an arm’s length basis;

3° The external and internal communication policy of the company concerned, in particular that relating to employees.

Le FIA ou sa société de gestion informe les personnes mentionnées à l’article D. 214-32-7-5 :

1° De l’identité des FIA ou de leurs sociétés de gestion qui, soit individuellement, soit du fait d’un accord conclu avec d’autres FIA ou leurs sociétés de gestion, ont acquis le contrôle de la société concernée ;

2° De la politique en matière de prévention et de gestion des conflits d’intérêts, notamment entre le FIA ou sa société de gestion et la société concernée, y compris les informations relatives aux mesures garantissant que tout accord entre le FIA ou sa société de gestion et la société concernée est conclu dans des conditions de concurrence normales ;

3° De la politique en matière de communication externe et interne de la société concernée, notamment celle relative aux salariés.
