Article D2353-1 of the French Labour Code

In the cases provided for in article L. 2353-2, the following must be attached to the application for registration of the European Company:
1° The agreement relating to the setting up of the European Company committee and an employee participation scheme provided for in article L. 2353-2 ;
2° In the absence of the agreement referred to in 1°, a written undertaking by the directors of the participating companies to apply the provisions of articles L. 2351-2, L. 2351-7, L. 2352-14, L. 2352-15, L. 2353-1, L. 2353-3 to L. 2353-32 and L. 2354-1.

Article D2353-1

Dans les hypothèses prévues à l’article L. 2353-2, est joint à la demande d’immatriculation de la société européenne :
1° L’accord portant sur la mise en place du comité de la société européenne et d’un système de participation des salariés prévu à l’article L. 2353-2 ;
2° A défaut de l’accord mentionné au 1°, l’engagement écrit des dirigeants des sociétés participantes de faire application des dispositions des articles L. 2351-2, L. 2351-7, L. 2352-14, L. 2352-15, L. 2353-1, L. 2353-3 à L. 2353-32, L. 2354-1.
