Article D2372-15 of the French Labour Code

The members of the special negotiating body shall be kept informed of :

1° The method of incorporation of the company resulting from the cross-border operation and its effects on the participating companies and their subsidiaries and establishments;

2° The shareholding arrangements made within these participating companies, subsidiaries and establishments, whether they are located in France or in another Member State of the European Union or the European Economic Area;

3° The procedures for transferring the rights and obligations of participating companies in terms of employment conditions resulting from legislation and collective and individual labour relations.

Les membres du groupe spécial de négociation sont tenus informés :

1° Du mode de constitution de la société issue de l’opération transfrontalière et des effets de celui-ci pour les sociétés participantes ainsi que pour leurs filiales et établissements ;

2° Des modalités de participation instituées au sein de ces sociétés participantes, filiales et établissements, que le lieu de leur implantation soit situé en France ou dans un autre Etat membre de l’Union européenne ou de l’Espace économique européen ;

3° Des modalités de transfert des droits et obligations des sociétés participantes en matière de conditions d’emploi résultant de la législation et des relations collectives et individuelles de travail.
