Article D6222-6 of the French Public Health Code

I.-No later than eight months before the planned date of opening of the medical biology laboratory, the legal representative of the laboratory shall send the declaration provided for in the first paragraph of Article L. 6222-1, by any means that can be reliably dated, to the regional health agency or agencies concerned with the creation of the laboratory or site.

This declaration includes the following documents or information

1° Identification of the health establishment or legal structure referred to in Articles L. 6223-1 and L. 6223-2 which is opening the laboratory or site concerned, and the memorandum of association of this structure;

2° The address of the site or sites concerned by the opening;

3° A description and plan of the laboratory and, where applicable, its sites;

4° The planned opening date of the laboratory or site;

5° Identification of the biologist-in-charge provided for in Article L. 6213-7 and, where applicable, identification of the biologist(s) in charge provided for in Article L. 6213-9 ;

6° Identification of the medical biologists;

7° The projected volume of activity for the first three years of operation of the laboratory, estimated in accordance with the provisions of Articles D. 6211-13 and D. 6211-14 ;

8° Where applicable, a copy of the cooperation agreement(s) provided for in Article L. 6212-6, entered into by the laboratory;

9° For laboratories operating in the form of a health cooperation group, a copy of the constituent agreement;

10° For private laboratories operating in the form of an association or foundation:

a) A copy of the internal regulations ;

b) A list of the members of the board of directors;

11° For private laboratories operating in the form of a company, the documents and information provided for in Article R. 6223-3.

II – Before any changes are made to the legal and financial structure of the medical biology laboratory and before the operations referred to in Article L. 6222-3 and Article L. 6223-4, the laboratory’s legal representative shall send the declaration provided for in the last paragraph of Article L. 6222-1 to the Regional Health Agency, by any means that can be reliably dated.

This declaration includes only the elements mentioned in I affected by the change and, where applicable :

1° The proposed acquisition of shares and the distribution of capital resulting from the operation ;

2° The proposed acquisition of a medical biology laboratory, a laboratory site or all or part of the assets of a company operating a laboratory;

3° The proposed merger or universal transfer of assets;

4° A copy of the Commercial Court order appointing the merger commissioner.

Article D6222-6

I.-Au plus tard huit mois avant la date prévisionnelle d’ouverture du laboratoire de biologie médicale, le représentant légal du laboratoire adresse la déclaration prévue au premier alinéa de l’article L. 6222-1, par tout moyen permettant de lui conférer une date de réception certaine, à l’agence régionale de santé ou aux agences régionales de santé concernées par la création du laboratoire ou du site.

Cette déclaration comprend les pièces ou informations suivantes :

1° L’identification de l’établissement de santé ou de la structure juridique mentionnée aux articles L. 6223-1 et L. 6223-2 qui ouvre le laboratoire ou le site concerné ainsi que l’acte constitutif de cette structure ;

2° L’adresse du ou des sites concernés par l’ouverture ;

3° La description et le plan du laboratoire et, le cas échéant, de ses sites ;

4° La date prévisionnelle d’ouverture du laboratoire ou du site ;

5° L’identification du biologiste-responsable prévu par l’article L. 6213-7 et, le cas échéant, l’identification du ou des biologistes-coresponsables prévus par l’article L. 6213-9 ;

6° L’identification des biologistes médicaux ;

7° Le volume prévisionnel d’activité pour les trois premières années de fonctionnement du laboratoire, estimé selon les dispositions des articles D. 6211-13 et D. 6211-14 ;

8° Le cas échéant, la copie du ou des contrats de coopération prévus à l’article L. 6212-6, conclus par le laboratoire ;

9° Pour les laboratoires exploités sous la forme d’un groupement de coopération sanitaire, la copie de la convention constitutive ;

10° Pour les laboratoires privés exploités sous la forme d’une association ou d’une fondation :

a) La copie du règlement intérieur ;

b) La liste des membres du conseil d’administration ;

11° Pour les laboratoires privés exploités sous la forme d’une société, les documents et informations prévus à l’article R. 6223-3.

II.- Avant toute modification apportée à la structure juridique et financière du laboratoire de biologie médicale ainsi qu’avant les opérations mentionnées à l’article L. 6222-3 et à l’article L. 6223-4, le représentant légal du laboratoire adresse à l’agence régionale de santé, par tout moyen permettant de lui conférer une date certaine de réception, la déclaration prévue au dernier alinéa de l’article L. 6222-1.

Cette déclaration comporte les seuls éléments mentionnés au I affectés par la modification et, le cas échéant :

1° Le projet d’acquisition de parts sociales ou d’actions et la répartition du capital résultant de l’opération ;

2° Le projet d’acquisition d’un laboratoire de biologie médicale, d’un site de laboratoire ou de tout ou partie d’actifs d’une société exploitant un laboratoire ;

3° Le projet de fusion ou de transmission universelle de patrimoine ;

4° La copie de l’ordonnance du tribunal de commerce désignant le commissaire à la fusion.
