Article L143-12 of the French Commercial code

The preferential rights of registered creditors follow the business into whatever hands it passes.

When the sale of the business has not taken place by public auction in accordance with the articles mentioned in article L. 143-11 purchasers wishing to secure themselves from the proceedings of registered creditors are required, on pain of forfeiture, prior to the proceedings or within fifteen days of the summons to pay being issued to them, to notify all registered creditors, under conditions defined by decree.

Les droits de préférence des créanciers inscrits suivent le fonds en quelques mains qu’il passe.

Lorsque la vente du fonds n’a pas eu lieu aux enchères publiques conformément aux articles mentionnés à l’article L. 143-11 l’acquéreur qui veut se garantir des poursuites des créanciers inscrits est tenu, à peine de déchéance, avant la poursuite ou dans la quinzaine de la sommation de payer à lui faite, d’effectuer des notifications à tous les créanciers inscrits, dans des conditions définies par décret.
