Article L143-17 of the French Commercial code

In addition to the registration formalities mentioned in Article L. 143-16, sales or assignments of goodwill comprising trademarks or service marks, industrial designs or models, as well as pledges of goodwill comprising patents for invention or licences, trademarks or designs, must be registered with the National Institute of Industrial Property, on pain of unenforceability against third parties, of the sales, assignments or pledges insofar as they apply to patents for invention and licences, trademarks or service marks, industrial designs and models.

Patents for inventions included in the transfer of a business shall remain subject for their transfer to the rules set out in Articles L. 613-8 et seq of the Intellectual Property Code.

Outre les formalités d’inscription mentionnées à l’article L. 143-16, les ventes ou cessions de fonds de commerce comprenant des marques de produits ou de services, des dessins ou modèles industriels, ainsi que les nantissements de fonds qui comprennent des brevets d’invention ou licences, des marques ou des dessins et modèles, doivent être inscrits à l’Institut national de la propriété industrielle, à peine d’inopposabilité à l’égard des tiers, des ventes, cessions ou nantissements en ce qu’ils s’appliquent aux brevets d’invention et aux licences, aux marques de produits ou de services, aux dessins et modèles industriels.

Les brevets d’invention compris dans la cession d’un fonds de commerce restent soumis pour leur transmission aux règles édictées aux articles L. 613-8 et suivants du code de la propriété intellectuelle.
