As regards transactions of limited liability companies and joint stock companies which took place before the sixteenth day of the publication in the Bulletin officiel des annonces civiles et commerciales of the deeds and particulars subject to such publicity, such deeds and particulars shall not be enforceable against third parties who prove that they were unable to become aware of them.
The period provided for in the first paragraph shall run from the date of registration of the deeds and particulars in the register of commerce and companies for limited liability companies and simplified joint stock companies where the sole member, a natural person, personally assumes the management or chairmanship of the company. If, in the publication of deeds and particulars concerning limited liability companies and companies limited by shares, there is a discrepancy between the text filed with the register of commerce and companies and the text published in the Bulletin officiel des annonces civiles et commerciales, the latter may not be relied upon against third parties; they may, however, rely on it unless the company proves that they were aware of the text filed with the register of commerce and companies.
