Article L213-10 of the French Monetary and Financial Code

Prior to issuing bonds, the association must:

1. be registered in the Trade and Companies Register in accordance with the terms and conditions laid down by decree;

2. Provide in its articles of association for the conditions under which the persons responsible for managing, representing and committing it in relation to third parties are to be appointed, and for the constitution of a collegiate body responsible for supervising the actions of these persons.

If the Articles of Association provide for the appointment of a Board of Directors, the association is not required to set up the collegiate body referred to above.

The collegiate body or the Board of Directors consists of at least three persons elected from among the members.

Préalablement à l’émission d’obligations, l’association doit :

1. Etre immatriculée au registre du commerce et des sociétés dans des conditions et selon des modalités fixées par décret ;

2. Prévoir dans ses statuts les conditions dans lesquelles seront désignées les personnes chargées de la diriger, de la représenter et de l’engager vis-à-vis des tiers, ainsi que la constitution d’un organe collégial chargé de contrôler les actes de ces personnes.

Si les statuts prévoient la nomination d’un conseil d’administration, l’association n’est pas tenue de constituer l’organe collégial mentionné ci-dessus.

L’organe collégial ou le conseil d’administration sont composés de trois personnes au moins élues parmi les membres.
