Article L213-21-1-A of the French Monetary and Financial Code

Subsection 3, with the exception of article L. 213-20-1 and the last paragraph of article L. 213-10, applies to foundations with legal personality, subject to the following provisions.

In article L. 213-18, the reference to the law of 1st July 1901 relating to the contract of association and to the local civil code applicable in the departments of Bas-Rhin, Haut-Rhin and Moselle is replaced by the reference to law no. 87-571 of 23rd July 1987 on the development of sponsorship.

The provisions relating to boards of directors, general meetings, management boards or company managers apply to the persons or bodies responsible for administering the foundation in accordance with its articles of association.

Those relating to a company’s supervisory board or its members apply, where such a board exists, to the foundation’s supervisory body and the persons who make up that body.

La sous-section 3, à l’exception de l’article L. 213-20-1 et du dernier alinéa de l’article L. 213-10, s’applique aux fondations dotées de la personnalité morale, sous réserve des dispositions qui suivent.

A l’article L. 213-18, la référence à la loi du 1er juillet 1901 relative au contrat d’association et au code civil local applicable dans les départements du Bas-Rhin, du Haut-Rhin et de la Moselle est remplacée par la référence à la loi n° 87-571 du 23 juillet 1987 sur le développement du mécénat.

Les dispositions relatives aux conseils d’administration, assemblée générale, directoire ou gérants de société s’appliquent aux personnes ou organes chargés de l’administration de la fondation conformément à ses statuts.

Celles relatives au conseil de surveillance d’une société ou à ses membres s’appliquent, s’il existe, à l’organe de contrôle de la fondation et aux personnes qui le composent.
