The audit is carried out by one or more statutory auditors.
The statutory auditors shall bring to the attention of the Autorité des marchés financiers any irregularities or inaccuracies they discover in the course of their work.
They are liable under the conditions set out in Article L. 822-17 of the Commercial Code. They are not liable under civil law for offences committed by persons managing, directing or administering the company, unless they were aware of such offences and did not disclose them in their report to the General Meeting.
Liability claims against the Statutory Auditors are subject to the statute of limitations set out in Article L. 225-254 of the Commercial Code.
No assets may be revalued without a special report to the General Meeting first presented by the Statutory Auditors and approved by the General Meeting.
