Article L214-162-9 of the French Monetary and Financial Code

I. – A société de libre partenariat may have one or more sub-funds if its articles so provide. Where one or more sub-funds are formed within a société de libre partenariat, they are individually subject to the provisions applicable to sociétés de libre partenariat.

II. – Notwithstandingarticle 2285 of the Civil Code and unless otherwise stipulated in the articles of association of the société de libre partenariat, the assets of a given sub-fund are liable only for the debts, commitments and obligations and benefit only from the claims relating to that sub-fund.

III. – Each sub-fund is the subject of separate accounts, which may be kept in any monetary unit under conditions laid down by decree.

Article L214-162-9

I. – Une société de libre partenariat peut comporter un ou plusieurs compartiments si ses statuts le prévoient. Lorsqu’un ou plusieurs compartiments sont constitués au sein d’une société de libre partenariat, ils sont soumis individuellement aux dispositions applicables aux sociétés de libre partenariat.

II. – Par dérogation à l’article 2285 du code civil et sauf stipulation contraire des statuts de la société de libre partenariat, les actifs d’un compartiment déterminé ne répondent que des dettes, engagements et obligations et ne bénéficient que des créances qui concernent ce compartiment.

III. – Chaque compartiment fait l’objet d’une comptabilité distincte, qui peut être tenue en toute unité monétaire dans des conditions fixées par décret.
