Article L214-170 of the French Monetary and Financial Code

Where the units, shares or debt securities issued by the financing undertaking are offered to the public within the meaning of Regulation (EU) 2017/1129, with the exception of the offers referred to in 1° or 2° of Article L. 411-2 or in Article L. 411-2-1, a document containing an assessment of the characteristics of the units or shares and, where applicable, of the debt securities that this undertaking is called upon to issue, of its main assets and liabilities and of the contracts that it proposes to enter into, and assessing the risks that they present, shall be drawn up by a person appearing on a list drawn up by the Minister responsible for the economy after obtaining the opinion of the Autorité des marchés financiers.

Lorsque les parts, actions ou titres de créance émis par l’organisme de financement font l’objet d’une offre au public au sens du règlement (UE) 2017/1129 à l’exception des offres mentionnées au 1° ou au 2° de l’article L. 411-2 ou à l’article L. 411-2-1, un document contenant une appréciation des caractéristiques des parts ou des actions et, le cas échéant, des titres de créance que cet organisme est appelé à émettre, de ses principaux éléments d’actifs et de passif et des contrats qu’il se propose de conclure et évaluant les risques qu’ils présentent est établi par une personne figurant sur une liste arrêtée par le ministre chargé de l’économie après avis de l’Autorité des marchés financiers.
