Article L221-7-1 of the French Commercial code

Article L. 225-102-3, with the exception of III, is applicable to general partnerships all of whose partners with unlimited liability are limited liability companies or joint stock companies.

The report referred to in the same Article L. 225-102-3 is drawn up by the managing partner.

This report is filed with the clerk of the commercial court, to be appended to the trade and companies register, within one month of the approval of the annual financial statements by the shareholders’ meeting or within two months of this approval when this filing is made by electronic means. It is also published, within the same timeframe, free of charge, accessible to the public and legible on the company’s website, in accordance with the conditions laid down by decree in the Conseil d’Etat.

L’article L. 225-102-3, à l’exception du III, est applicable aux sociétés en nom collectif dont tous les associés indéfiniment responsables sont des sociétés à responsabilité limitée ou des sociétés par actions.

Le rapport mentionné au même article L. 225-102-3 est établi par le gérant.

Ce rapport est déposé au greffe du tribunal de commerce, pour être annexé au registre du commerce et des sociétés, dans le mois suivant l’approbation des comptes annuels par l’assemblée des associés ou dans les deux mois suivant cette approbation lorsque ce dépôt est effectué par voie électronique. Il fait également l’objet, dans les mêmes délais, d’une publication gratuite, accessible au public et lisible sur le site internet de la société, dans des conditions prévues par décret en Conseil d’Etat.
