Article L222-8 of the French Commercial code

I. – Company shares may only be transferred with the consent of all the members.

II. – However, the Articles of Association may stipulate:

1° That the shares of limited partners are freely transferable between partners;

2° That the shares of limited partners may be transferred to third parties outside the company with the consent of all the general partners and of the majority in number and capital of the limited partners;

3° That a general partner may transfer part of his shares to a limited partner or to a third party outside the company under the conditions provided for in 2° above.

I. – Les parts sociales ne peuvent être cédées qu’avec le consentement de tous les associés.

II. – Toutefois, les statuts peuvent stipuler :

1° Que les parts des associés commanditaires sont librement cessibles entre associés ;

2° Que les parts des associés commanditaires peuvent être cédées à des tiers étrangers à la société avec le consentement de tous les commandités et de la majorité en nombre et en capital des commanditaires ;

3° Qu’un associé commandité peut céder une partie de ses parts à un commanditaire ou à un tiers étranger à la société dans les conditions prévues au 2° ci-dessus.
