The Executive Chairman or, if there is one, the Statutory Auditor, presents to the General Meeting or attaches to the documents communicated to the shareholders in the event of written consultation, a report on the agreements entered into directly or through intermediaries between the company and one of its Executive Chairmen or shareholders. The General Meeting decides on this report. The manager or partner concerned may not take part in the vote and his shares are not taken into account for the calculation of the quorum and majority.
However, if there is no statutory auditor, agreements entered into by a manager who is not a partner are subject to the prior approval of the meeting.
By way of derogation from the provisions of the first paragraph, when the company has only one partner and the agreement is entered into with that partner, it is only mentioned in the register of decisions.
Nonetheless, agreements that have not been approved shall take effect, with the manager and, where applicable, the contracting partner, being required to bear individually or jointly and severally, as the case may be, the consequences of the contract that are detrimental to the company.
The provisions of this article extend to agreements entered into with a company of which a partner with unlimited liability, manager, director, general manager, member of the management board or member of the supervisory board is simultaneously manager or partner of the limited liability company.
