Article L223-29 of the French Commercial code

In meetings or during written consultations, decisions shall be adopted by one or more members representing more than half of the shares.

If this majority is not obtained and unless otherwise stipulated in the Articles of Association, the members shall, as the case may be, be convened or consulted a second time, and decisions shall be taken by a majority of the votes cast, irrespective of the number of voters.

Decisions taken in breach of the provisions of this article may be annulled at the request of any interested party.

Dans les assemblées ou lors des consultations écrites, les décisions sont adoptées par un ou plusieurs associés représentant plus de la moitié des parts sociales.

Si cette majorité n’est pas obtenue et sauf stipulation contraire des statuts, les associés sont, selon les cas, convoqués ou consultés une seconde fois, et les décisions sont prises à la majorité des votes émis, quel que soit le nombre des votants.

Les décisions prises en violation des dispositions du présent article peuvent être annulées à la demande de tout intéressé.
