Article L225-216 of the French Commercial code

A company may not advance funds, grant loans or give security with a view to the subscription or purchase of its own shares by a third party.

The provisions of this article do not apply either to current transactions by credit institutions and finance companies or to transactions carried out with a view to the acquisition by employees of shares in the company, in one of its subsidiaries or in a company included within the scope of a group savings plan provided for in article L. 444-3 du code du travail.

Une société ne peut avancer des fonds, accorder des prêts ou consentir une sûreté en vue de la souscription ou de l’achat de ses propres actions par un tiers.

Les dispositions du présent article ne s’appliquent ni aux opérations courantes des établissements de crédit et des sociétés de financement ni aux opérations effectuées en vue de l’acquisition par les salariés d’actions de la société, d’une de ses filiales ou d’une société comprise dans le champ d’un plan d’épargne de groupe prévu à l’article L. 444-3 du code du travail.
