Article L225-55 of the French Commercial code

The Chief Executive Officer may be dismissed at any time by the Board of Directors. The same applies, on the proposal of the Chief Executive Officer, to the Deputy Chief Executive Officers. If the dismissal is decided without just cause, it may give rise to damages, except when the Chief Executive Officer assumes the duties of Chairman of the Board of Directors.

When the Chief Executive Officer ceases or is prevented from carrying out his duties, the Deputy Chief Executive Officers retain, unless the Board decides otherwise, their duties and powers until the appointment of the new Chief Executive Officer.

Article L225-55
