Article L225-76 of the French Commercial code

A legal entity may be appointed to the Supervisory Board. When appointed, it is required to designate a permanent representative who is subject to the same conditions and obligations and incurs the same civil and criminal liability as if he were a member of the board in his own name, without prejudice to the joint and several liability of the legal entity he represents.

The permanent representative is taken into account when assessing whether the composition of the supervisory board complies with the first paragraph of article L. 225-69-1. Any appointment made in breach of this paragraph that does not remedy the irregularity in the composition of the Board is null and void. This nullity does not entail the nullity of the deliberations in which the irregularly appointed permanent representative took part.

When the legal entity revokes its representative, it is obliged to provide for his replacement at the same time.

Une personne morale peut être nommée au conseil de surveillance. Lors de sa nomination, elle est tenue de désigner un représentant permanent qui est soumis aux mêmes conditions et obligations et qui encourt les mêmes responsabilités civile et pénale que s’il était membre du conseil en son nom propre, sans préjudice de la responsabilité solidaire de la personne morale qu’il représente.

Le représentant permanent est pris en compte pour apprécier la conformité de la composition du conseil de surveillance au premier alinéa de l’article L. 225-69-1. Toute désignation intervenue en violation de cet alinéa et n’ayant pas pour effet de remédier à l’irrégularité de la composition du conseil est nulle. Cette nullité n’entraîne pas celle des délibérations auxquelles a pris part le représentant permanent irrégulièrement désigné.

Lorsque la personne morale révoque son représentant, elle est tenue de pourvoir en même temps à son remplacement.
