Article L225-83 of the French Commercial code

The General Meeting may allocate to the members of the Supervisory Board, as remuneration for their activity, a fixed annual sum that this meeting determines without being bound by provisions of the Articles of Association or previous decisions. The amount of this sum is charged to operating expenses. Its distribution among the members of the Supervisory Board is determined by the latter.

When the Supervisory Board is not composed in accordance with the first paragraph of article L. 225-69-1, payment of the remuneration provided for in the first paragraph of this article shall be suspended. Payment is reinstated when the composition of the Supervisory Board becomes regular, including the arrears since the suspension.

L’assemblée générale peut allouer aux membres du conseil de surveillance, en rémunération de leur activité, une somme fixe annuelle que cette assemblée détermine sans être liée par des dispositions statutaires ou des décisions antérieures. Le montant de celle-ci est porté aux charges d’exploitation. Sa répartition entre les membres du conseil de surveillance est déterminée par ce dernier.

Lorsque le conseil de surveillance n’est pas composé conformément au premier alinéa de l’article L. 225-69-1, le versement de la rémunération prévue au premier alinéa du présent article est suspendu. Le versement est rétabli lorsque la composition du conseil de surveillance devient régulière, incluant l’arriéré depuis la suspension.
