In companies whose shares are admitted to trading on a regulated market, when the Extraordinary General Meeting of shareholders has authorised a transaction resulting either in an exchange of shares or in the allocation of new shares to shareholders, the shares that could not be allocated individually and corresponding to fractional rights are sold. The sale of these shares and the distribution of the proceeds of this sale to the holders of these rights shall take place under the conditions and in accordance with the procedures laid down by decree in the Conseil d’Etat.
In companies whose shares are admitted to trading by a central depository but are not listed on a regulated market, the Extraordinary General Meeting of shareholders which has authorised a transaction involving either the exchange of shares or the allotment to shareholders of new shares, may decide to sell any equity securities that it has not been possible to allocate individually and that correspond to fractional rights, with a view to distributing the funds thus raised among the holders of these rights, within the limits and in accordance with the procedures set out in the previous paragraph or in Article L. 228-6.
