Article L228-72 of the French Commercial code

Failing approval by the general meeting of the proposals referred to in 1° and 4° of I. of article L. 228-65, the board of directors, the management board or the managers of the debtor company may override, by offering to redeem the bonds within the period set by decree in the Conseil d’Etat.

The decision of the board of directors, the management board or the managers to overrule shall be published in accordance with the conditions laid down by decree in the Conseil d’Etat, which shall also determine the period during which redemption must be requested.

A défaut d’approbation par l’assemblée générale des propositions visées aux 1° et 4° du I. de l’article L. 228-65, le conseil d’administration, le directoire ou les gérants de la société débitrice peuvent passer outre, en offrant de rembourser les obligations dans le délai fixé par décret en Conseil d’Etat.

La décision du conseil d’administration, du directoire ou des gérants de passer outre est publiée dans les conditions fixées par décret en Conseil d’Etat, qui détermine également le délai pendant lequel le remboursement doit être demandé.
