Article L2312-47 of the French Labour Code

At the request of the employer making the offer, the employer of the company to which the offer relates may convene a meeting of its social and economic committee within two working days of the announcement of the offer. Articles L. 2312-42 to L. 2312-46 apply. The periods provided for in these same articles run from the announcement of the offer.

In the event of a significant change in the information presented to the social and economic committee between the announcement and the filing of the offer, any opinion issued by the social and economic committee shall lapse. The social and economic committee meets within two days of the bid being filed and issues an opinion in accordance with the conditions set out in articles L. 2312-42 to L. 2312-46.

A la demande de l’employeur auteur de l’offre, l’employeur de l’entreprise sur laquelle porte l’offre peut réunir son comité social et économique dans les deux jours ouvrables suivant l’annonce de cette offre. Les articles L. 2312-42 à L. 2312-46 s’appliquent. Les délais prévus à ces mêmes articles courent à compter de l’annonce de l’offre.


En cas de modification significative des informations présentées au comité social et économique entre l’annonce et le dépôt de l’offre, l’avis rendu, le cas échéant, par le comité social et économique est caduc. Ce dernier est réuni dans les deux jours suivant le dépôt de l’offre et rend un avis dans les conditions prévues auxdits articles L. 2312-42 à L. 2312-46.
