Article L2312-77 of the French Labour Code

In companies, the social and economic committee may apply to the courts for the appointment of an agent to convene the general meeting of shareholders in an emergency.

It may also request the inclusion of draft resolutions on the agenda of general meetings.

Two members of the Board, appointed by the Social and Economic Committee, one from the category of managerial, technical and supervisory staff, the other from the category of white-collar and blue-collar staff, or the persons mentioned in articles L. 2312-74 and L. 2312-75 may attend General Meetings. They shall be heard, at their request, during all deliberations requiring unanimity of the members.

Dans les sociétés, le comité social et économique peut demander en justice la désignation d’un mandataire chargé de convoquer l’assemblée générale des actionnaires en cas d’urgence.

Il peut également requérir l’inscription de projets de résolutions à l’ordre du jour des assemblées.

Deux membres du conseil, désignés par le comité social et économique et appartenant l’un à la catégorie des cadres techniciens et agents de maîtrise, l’autre à la catégorie des employés et ouvriers, ou les personnes mentionnées aux articles L. 2312-74 et L. 2312-75 peuvent assister aux assemblées générales. Ils sont entendus, à leur demande, lors de toutes les délibérations requérant l’unanimité des associés.
