Article L232-17 of the French Commercial code

The company may not require shareholders or unit holders to repay any dividends, except where the following two conditions are met:

1° If the distribution has been made in breach of the provisions of articles L. 232-11, L. 232-12 and L. 232-15;

2° If the company establishes that the beneficiaries were aware of the irregular nature of this distribution at the time it was made or could not have been unaware of it given the circumstances.

La société ne peut exiger des actionnaires ou porteurs de parts aucune répétition de dividendes, sauf lorsque les deux conditions suivantes sont réunies :

1° Si la distribution a été effectuée en violation des dispositions des articles L. 232-11, L. 232-12 et L. 232-15 ;

2° Si la société établit que les bénéficiaires avaient connaissance du caractère irrégulier de cette distribution au moment de celle-ci ou ne pouvaient l’ignorer compte tenu des circonstances.
