Companies that prepare consolidated accounts in accordance with articles L. 233-18 to L. 233-26 may, under the conditions set out in article L. 123-17 and notwithstanding article L. 123-18, register the securities of companies that they exclusively control, within the meaning of article L. 233-16, on the assets side of the balance sheet on the basis of the proportion of shareholders’ equity determined in accordance with consolidation rules that these securities represent. This valuation method, if chosen, applies to all securities that meet the above conditions. The option is disclosed in the notes to the financial statements.
The counterpart to the annual change in the overall share of shareholders’ equity represented by these securities does not constitute a profit or loss item; it is recorded separately in a shareholders’ equity item; it is not distributable and cannot be used to offset losses. Nevertheless, if the overall difference becomes negative, it is recorded in the income statement.
If a company uses the method provided for in the previous paragraphs, the companies it controls apply the same method when they themselves control other companies under the same conditions.
A decree in the Conseil d’Etat shall set out the terms and conditions for the application of this article.
