Article L2372-6 of the French Labour Code

Subject to the provisions of the second paragraph of Article L. 2372-4, the managers of each of the companies participating in the cross-border operation negotiate with the special negotiating body with a view to reaching an agreement which determines :

1° The participating companies, establishments and subsidiaries concerned by the agreement ;

2° The terms and conditions of participation, including, where applicable:

a) The number of members of the administrative or supervisory body of the company resulting from a cross-border operation whom the employees have the right to elect, appoint, recommend or oppose;

b) the procedures to be followed so that employees can elect, appoint or recommend such members or object to their appointment;

c) The rights of these members;

3° The date of entry into force of the agreement and its duration;

4° The cases in which the agreement is renegotiated and the procedure followed for its renegotiation.

Article L2372-6

Sous réserve des dispositions du deuxième alinéa de l’article L. 2372-4, les dirigeants de chacune des sociétés participant à l’opération transfrontalière négocient avec le groupe spécial de négociation en vue de parvenir à un accord qui détermine :

1° Les sociétés participantes, les établissements et les filiales concernés par l’accord ;

2° Les modalités de participation, y compris, le cas échéant :

a) Le nombre de membres de l’organe d’administration ou de surveillance de la société issue d’une opération transfrontalière que les salariés ont le droit d’élire, de désigner, de recommander ou à la désignation desquels ils peuvent s’opposer ;

b) Les procédures à suivre pour que les salariés puissent élire, désigner ou recommander ces membres ou s’opposer à leur désignation ;

c) Les droits de ces membres ;

3° La date d’entrée en vigueur de l’accord et sa durée ;

4° Les cas dans lesquels l’accord est renégocié et la procédure suivie pour sa renégociation.
