Article L2373-8 of the French Labour Code

Once the number of seats on the administrative or supervisory body has been determined under the conditions provided for in Article L. 2373-7, the committee of the company resulting from the cross-border operation shall ensure that they are allocated in proportion to the number of employees of the company employed in each Member State of the European Union.

By way of derogation from the first paragraph, the committee shall, as far as possible, allocate at least one seat to each Member State which had an employee participation system prior to the registration of the company.

Dès lors que le nombre de sièges au sein de l’organe d’administration ou de surveillance a été déterminé dans les conditions prévues à l’article L. 2373-7, le comité de la société issue de l’opération transfrontalière veille à leur répartition, proportionnellement au nombre de salariés de la société employés dans chaque Etat membre de l’Union européenne.

Par dérogation au premier alinéa, le comité assure, dans la mesure du possible, à chaque Etat membre disposant d’un système de participation des salariés avant l’immatriculation de la société, l’attribution d’au moins un siège.
