Article L321-12 of the French Commercial code

An operator of voluntary sales of movable property by public auction mentioned in Article L. 321-4 may guarantee the seller a minimum auction price for the property offered for sale. If the property has been estimated, this price may not be set at an amount higher than the lowest estimate mentioned in article L. 321-11.

If the guaranteed minimum bid price is not reached at the auction, the operator is authorised to declare itself the successful bidder for the property at this price. Failing that, he shall pay the seller the difference between the guaranteed minimum bid price and the actual bid price.

The operator may resell the property thus acquired, including at public auction. Advertising must then clearly and unequivocally state that the operator is the owner of the property.

Un opérateur de ventes volontaires de meubles aux enchères publiques mentionné à l’article L. 321-4 peut garantir au vendeur un prix d’adjudication minimal du bien proposé à la vente. Si le bien a été estimé, ce prix ne peut être fixé à un montant supérieur à l’estimation la plus basse mentionnée à l’article L. 321-11.

Si le prix d’adjudication minimal garanti n’est pas atteint lors de la vente aux enchères, l’opérateur est autorisé à se déclarer adjudicataire du bien à ce prix. A défaut, il verse au vendeur la différence entre le prix d’adjudication minimal garanti et le prix d’adjudication effectif.

Il peut revendre le bien ainsi acquis, y compris aux enchères publiques. La publicité doit alors mentionner de façon claire et non équivoque que l’opérateur est le propriétaire du bien.
