Article L441-2 of the French Monetary and Financial Code

The Autorité des marchés financiers may appoint a provisional administrator for the central depositary referred to in 1° of I of Article L. 441-1, to whom all the powers of administration, management and representation of the legal entity shall be transferred.

This appointment is made either at the request of the directors when they consider that they are no longer in a position to perform their duties normally, or at the initiative of the Autorité des marchés financiers when the central depositary can no longer be managed under conditions that guarantee its proper operation or when the prudential requirements applicable to the central depositary are no longer met or are likely to be no longer met.

The AMF shall decide on the appointment of a provisional administrator following an adversarial procedure. Where justified by particular emergency circumstances, the Autorité des marchés financiers may, on a provisional basis, order such appointment without an adversarial procedure. An adversarial procedure shall then be initiated immediately to lift, adapt or confirm this measure, as required by the urgency of the situation.

The General Regulation of the Autorité des marchés financiers shall specify the conditions of application of this article.

Article L441-2

L’Autorité des marchés financiers peut désigner un administrateur provisoire auprès du dépositaire central mentionné au 1° du I de l’article L. 441-1, auquel sont transférés tous les pouvoirs d’administration, de direction et de représentation de la personne morale.

Cette désignation est faite soit à la demande des dirigeants lorsqu’ils estiment ne plus être en mesure d’exercer normalement leurs fonctions, soit à l’initiative de l’Autorité des marchés financiers lorsque la gestion du dépositaire central ne peut plus être assurée dans des conditions garantissant son bon fonctionnement ou lorsque les exigences prudentielles applicables au dépositaire central ne sont plus respectées ou sont susceptibles de ne plus l’être.

L’Autorité des marchés financiers décide de la désignation d’un administrateur provisoire au terme d’une procédure contradictoire. Lorsque des circonstances particulières d’urgence le justifient, l’Autorité des marchés financiers peut, à titre provisoire, ordonner sans procédure contradictoire cette désignation. Une procédure contradictoire est alors immédiatement engagée aux fins de lever, adapter ou confirmer cette mesure commandée par l’urgence.
