Article L511-72 of the French Monetary and Financial Code

The Board of Directors, the Supervisory Board or any other body exercising equivalent supervisory functions shall adopt and regularly review the general principles of the remuneration policy and monitor their implementation.

In the case of a branch of a credit institution mentioned in I of Article L. 511-10, the persons mentioned in the second paragraph of Article L. 511-13 shall transmit to the body of the credit institution to which the branch belongs that exercises supervisory functions equivalent to those of a board of directors or a supervisory board, the information enabling this body to adopt and regularly review the general principles of the remuneration policy applicable by the branch and to monitor its implementation.

Le conseil d’administration, le conseil de surveillance ou tout autre organe exerçant des fonctions de surveillance équivalentes adopte et revoit régulièrement les principes généraux de la politique de rémunération et en contrôle la mise en œuvre.

Dans le cas d’une succursale d’établissement de crédit mentionnée au I de l’article L. 511-10, les personnes mentionnées au second alinéa de l’article L. 511-13 transmettent, à l’organe de l’établissement de crédit dont dépend cette succursale qui exerce des fonctions de surveillance équivalentes à celles d’un conseil d’administration ou d’un conseil de surveillance, les informations permettant à cet organe d’adopter et de revoir régulièrement les principes généraux de la politique de rémunération applicable par la succursale et d’en contrôler la mise en œuvre.
