The variable part of the total remuneration of the persons referred to in Article L. 511-71 may not exceed the amount of the fixed part of this remuneration.
By decision of the competent general meeting of the credit institution or finance company, it may be increased to twice the amount of the fixed remuneration.
The relevant General Meeting shall act by a two-thirds majority provided that at least half of the shareholders or holders of equivalent property rights are represented. Failing this, it shall act by a three-quarters majority.
The persons concerned by the ceilings on variable remuneration are not authorised to exercise, directly or indirectly, the voting rights they may have as shareholders or holders of equivalent property rights entitling them to participate in the vote.
Credit institutions and finance companies shall inform the Autorité de contrôle prudentiel et de résolution without delay of the ceiling proposed to the relevant general meeting and justify their choice to the latter. They shall inform the Autorité de contrôle prudentiel et de résolution without delay of the result of the vote of the competent general meeting.
