Article L512-80 of the French Monetary and Financial Code

If the Board of Directors takes decisions contrary to the specific legislative or regulatory provisions governing Crédit Maritime Mutuel or if it fails to perform its duties, the central body of the savings banks and banques populaires may, without prejudice to the provisions of the last paragraph of I of Article L. 612-34, after unsuccessful formal notice and under the conditions defined by the decree provided for in Article L. 512-84, propose to the Minister responsible for the economy to dissolve the Board of Directors and appoint a provisional administrator or committee, responsible for the administration of the savings bank or credit union.

The mission of the administrator or provisional committee thus appointed ends as soon as a new Board of Directors is elected, at its own initiative, which must take place within a maximum period of six months.

Si le conseil d’administration prend des décisions contraires aux dispositions législatives ou réglementaires particulières régissant le crédit maritime mutuel ou s’il s’abstient d’exercer ses fonctions, l’organe central des caisses d’épargne et des banques populaires peut, sans préjudice des dispositions du dernier alinéa du I de l’article L. 612-34, après mise en demeure restée vaine et dans des conditions définies par le décret prévu à l’article L. 512-84, proposer au ministre chargé de l’économie, de dissoudre le conseil d’administration et de désigner un administrateur ou un comité provisoire, chargé de l’administration de la caisse ou de l’union.

La mission de l’administrateur ou du comité provisoire ainsi nommé prend fin dès l’élection, à sa diligence, d’un nouveau conseil d’administration qui doit intervenir dans un délai maximum de six mois.
