Article L5124-16 of the French Public Health Code

Subject to the provisions ofOrder no. 2014-948 of 20 August 2014 relating to the governance and capital transactions of publicly held companies, “Laboratoire français du fractionnement et des biotechnologies” is governed by the provisions of the French Commercial Code applicable to public limited companies.

If the articles of association provide that the general management of the company is the responsibility of a managing director within the meaning ofarticle L. 225-51-1 of the French Commercial Code, the latter is appointed by decree on the recommendation of the chairman of the board of directors.

Blood donor associations are represented on the Board of Directors of the subsidiary of the limited company “Laboratoire français du fractionnement et des biotechnologies” mentioned in the second paragraph of article L. 5124-14 of the Public Health Code.

The provisions of the two preceding paragraphs are applicable notwithstanding the provisions of the order mentioned in the first paragraph.

Article L5124-16

Sous réserve des dispositions de l’ordonnance n° 2014-948 du 20 août 2014 relative à la gouvernance et aux opérations sur le capital des sociétés à participation publique, la société “Laboratoire français du fractionnement et des biotechnologies” est régie par les dispositions du code de commerce applicables aux sociétés anonymes.

Si les statuts prévoient que la direction générale de la société est assumée sous sa responsabilité par un directeur général au sens de l’article L. 225-51-1 du code de commerce, ce dernier est nommé par décret sur proposition du président du conseil d’administration.

Les associations de donneurs de sang sont représentées au conseil d’administration de la filiale de la société anonyme “Laboratoire français du fractionnement et des biotechnologies” mentionnée au second alinéa de l’article L. 5124-14 du code de la santé publique.

Les dispositions des deux alinéas précédents sont applicables nonobstant les dispositions de l’ordonnance mentionnée au premier alinéa.
