I. – Changes in the ownership structure of a portfolio management company must be notified to the Autorité des marchés financiers.
The acquisition or extension of direct or indirect shareholdings in a portfolio management company must be authorised by the Autorité des marchés financiers.
When the AMF is notified of a direct or indirect reduction or disposal of a holding, it shall verify that the transaction does not call into question the conditions to which the authorisation granted to the portfolio management company is subject.
A decree of the Conseil d’Etat shall determine the criteria to be used by the Autorité des marchés financiers to assess the transactions referred to in the second paragraph. The terms and conditions of the procedures referred to in this I shall be specified in the General Regulations of the Autorité des marchés financiers.
II. – Any other change to the conditions to which the authorisation granted to a portfolio management company was subject must be the subject of prior authorisation by the Autorité des marchés financiers, of a declaration or of a notification, as the case may be, under the conditions laid down by the general regulations of the Autorité des marchés financiers.
The Autorité des marchés financiers shall rule on the application for authorisation within a period set by decree.
Without prejudice to the provisions of Article L. 233-14 of the Commercial Code, if the AMF, the public prosecutor or any shareholder or holder of corporate units fails to provide prior information concerning any change in the shareholder structure of an asset management company, the AMF may ask the court to suspend the exercise of the voting rights attached to the shares and corporate units of the asset management company held directly or indirectly in an irregular manner, until the situation has been rectified.
In cases where an authorisation must be issued, it may itself be subject to specific conditions meeting the purpose mentioned in the second paragraph of Article L. 532-9 or subject to compliance with commitments made by the portfolio management company.
