Article L532-9-3 of the French Monetary and Financial Code

Without prejudice to the provisions of Article 26-6 of Law No 47-1775 of 10 September 1947 on the Statute for a Cooperative Society, the Autorité des marchés financiers is competent to oppose, in accordance with paragraph 14 of Article 7 and Article 21 of Council Regulation (EC) No 1435/2003 of 22 July 2003 on the Statute for a European Cooperative Society (SCE), the transfer of the registered office of an asset management company constituted as a European Cooperative Society registered in France resulting in a change in the applicable law and the formation of a European Cooperative Society by way of a merger involving a cooperative asset management company authorised in France. This decision may be appealed to the Conseil d’Etat.

Sans préjudice des dispositions de l’article 26-6 de la loi n° 47-1775 du 10 septembre 1947 portant statut de la coopération, l’Autorité des marchés financiers est compétente pour s’opposer, conformément au paragraphe 14 de l’article 7 et à l’article 21 du règlement (CE) n° 1435 / 2003 du Conseil, du 22 juillet 2003, relatif au statut de la société coopérative européenne (SEC), au transfert de siège social d’une société de gestion de portefeuille constituée sous forme de société coopérative européenne immatriculée en France et dont résulterait un changement du droit applicable ainsi qu’à la constitution d’une société coopérative européenne par voie de fusion impliquant une société coopérative de gestion de portefeuille agréée en France. Cette décision est susceptible de recours devant le Conseil d’Etat.
