Article L573-4 of the French Monetary and Financial Code

Failure by the directors of an investment firm or portfolio management company to request the appointment of the firm’s or company’s statutory auditors or to convene them to the general meeting is punishable by two years’ imprisonment and a fine of 30,000 euros.

It is a criminal offence for the directors of an investment firm or portfolio management company, or for any person in the service of such a firm or company, to obstruct the verifications or controls of the statutory auditors or to refuse to provide, on the spot, all documents useful for the performance of their duties, and in particular all contracts, books, accounting documents and minute books, to be punished by five years’ imprisonment and a fine of 75,000 euros.

Le fait, pour les dirigeants d’une entreprise d’investissement ou d’une société de gestion de portefeuille, de ne pas provoquer la désignation des commissaires aux comptes de l’entreprise ou de la société ou de ne pas les convoquer à l’assemblée générale est puni de deux ans d’emprisonnement et de 30 000 euros d’amende.

Le fait, pour les dirigeants d’une entreprise d’investissement ou d’une société de gestion de portefeuille, ou pour toute personne au service de cette entreprise ou de cette société, de mettre obstacle aux vérifications ou aux contrôles des commissaires aux comptes ou de refuser la communication sur place de toutes les pièces utiles à l’exercice de leur mission et notamment tous contrats, livres, documents comptables et registres de procès-verbaux est puni de cinq ans d’emprisonnement et de 75 000 euros d’amende.
