Article L613-34-8 of the French Monetary and Financial Code

Notwithstanding any provision or stipulation to the contrary, the general meeting of one of the persons referred to in I and II of Article L. 613-34 may, by a two-thirds majority, amend the articles of association of that person in order to allow a general meeting to be called within a period of not less than ten days to authorise a capital increase when :

1° The person concerned is in one of the situations referred to in Articles L. 511-41-5, L. 612-33 or L. 612-34-1 ;

2° Such an increase is intended to prevent the triggering of a resolution procedure against this person or the group to which it belongs pursuant to Articles L. 613-49 or L. 613-49-1.

Nonobstant toute disposition ou stipulation contraire, l’assemblée générale de l’une des personnes mentionnées au I et au II de l’article L. 613-34 peut, à la majorité des deux tiers, modifier les statuts de cette personne afin de permettre la convocation d’une assemblée générale dans un délai qui ne peut être inférieur à dix jours pour autoriser une augmentation de capital lorsque :

1° La personne concernée se trouve dans l’une des situations mentionnées aux articles L. 511-41-5, L. 612-33 ou L. 612-34-1 ;

2° Une telle augmentation vise à prévenir le constat du déclenchement d’une procédure de résolution à l’encontre de cette personne ou du groupe auquel elle appartient en application des articles L. 613-49 ou L. 613-49-1.
