Article L631-22 of the French Commercial code

At the request of the administrator, the court may order the total or partial sale of the business if the proposed plan or plans appear manifestly unsuitable for the recovery of the business or in the absence of such plans. The provisions of Section 1 of Chapter II of Title IV, with the exception of I of Article L. 642-2, and Article L. 642-22 shall apply to such assignment. The mandataire judiciaire shall perform the duties devolved to the liquidator.

The administrator shall remain in office to perform all acts necessary to complete the assignment.

Where the total or partial assignment has been ordered pursuant to the first paragraph, the procedure shall be continued within the limits provided by Article L. 631-7. If it is not possible to draw up a recovery plan, the court shall order the judicial liquidation and terminate the observation period and the administrator’s assignment, subject to the provisions of Article L. 641-10. Assets not included in the disposal plan are then disposed of under the conditions of Section 2 of Chapter II of Title IV.

A la demande de l’administrateur, le tribunal peut ordonner la cession totale ou partielle de l’entreprise si le ou les plans proposés apparaissent manifestement insusceptibles de permettre le redressement de l’entreprise ou en l’absence de tels plans. Les dispositions de la section 1 du chapitre II du titre IV, à l’exception du I de l’article L. 642-2, et l’article L. 642-22 sont applicables à cette cession. Le mandataire judiciaire exerce les missions dévolues au liquidateur.

L’administrateur reste en fonction pour passer tous les actes nécessaires à la réalisation de la cession.

Lorsque la cession totale ou partielle a été ordonnée en application du premier alinéa, la procédure est poursuivie dans les limites prévues par l’article L. 631-7. Si l’arrêté d’un plan de redressement ne peut être obtenu, le tribunal prononce la liquidation judiciaire et met fin à la période d’observation ainsi qu’à la mission de l’administrateur, sous réserve des dispositions de l’article L. 641-10. Les biens non compris dans le plan de cession sont alors cédés dans les conditions de la section 2 du chapitre II du titre IV.
