Article L680-4 of the French Commercial code

Unless otherwise provided, the references made by Titles I to VI of this Book to the debtor, the business, the contract and the co-contracting party shall mean, respectively:

– the debtor insofar as it carries on the business in difficulty and is the owner of the assets and liabilities associated with that business, to the exclusion of all others;

– the business carried on in the context of the business in difficulty.

– the debtor insofar as it carries on the business in difficulty and is the owner of the assets and liabilities associated with that business, to the exclusion of all others;

– if assets are assigned to the business in difficulty, of the contract entered into in the course of carrying on that business or, if the business is carried on without assigning assets, of the contract entered into outside the business or businesses to which assets are assigned;

– of the co-contractor who entered into the contract referred to in the previous paragraph.

Article L680-4

Sauf dispositions contraires, les références faites par les titres Ier à VI du présent livre au débiteur, à l’entreprise, au contrat, au cocontractant s’entendent, respectivement :

― du débiteur en tant qu’il exerce l’activité en difficulté et est titulaire du patrimoine qui se rattache à celle-ci, à l’exclusion de tout autre ;

― de l’entreprise exploitée dans le cadre de l’activité en difficulté ;

― si un patrimoine est affecté à l’activité en difficulté, du contrat passé à l’occasion de l’exercice de cette activité ou, si l’activité est exercée sans affectation de patrimoine, du contrat passé en dehors du ou des activités auxquelles un patrimoine est affecté ;

― du cocontractant ayant conclu le contrat mentionné au précédent alinéa.
