The Executive Board may not deliberate unless the majority of its members are present.
If, on the day fixed by the notice convening the meeting, the Executive Board does not meet in sufficient number to deliberate, the meeting is held ipso jure three days later and the deliberations are then valid regardless of the number of members present.
A member of the Executive Board unable to attend a meeting may give a delegation of vote, for that meeting, to another member of the Executive Board. A member of the Board may receive only one delegation.
Decisions of the Executive Board shall be taken by a majority of its members. In the event of a tie, the Chairman shall have the casting vote.
Decisions of the Executive Board shall be signed by the Chairman and countersigned by the members of the Executive Board responsible for their execution.
