The Board of Directors meets at least three times a year when convened by its Chairman. The Board is convened automatically when requested to do so by the Minister for Health or by at least one third of the Board members.
The Chairman shall set the agenda, which must include items that have been requested by the Minister for Health or by at least one third of the Board’s members.
The Board is validly constituted if at least half of its members are present. If this is not the case, a new meeting is held after a period of fifteen days, with no quorum requirement.
Decisions are taken by a majority of the members present. In the event of a tie, the Chairman has the casting vote.
The Director, the Accounting Officer and the Budget Controller participate in the work of the Board in an advisory capacity.
