Article R1142-45 of the French Public Health Code

The Board of Directors meets at least three times a year when convened by its Chairman. The Board is convened automatically when requested to do so by the Minister for Health or by at least one third of the Board members.

The Chairman shall set the agenda, which must include items that have been requested by the Minister for Health or by at least one third of the Board’s members.

The Board is validly constituted if at least half of its members are present. If this is not the case, a new meeting is held after a period of fifteen days, with no quorum requirement.

Decisions are taken by a majority of the members present. In the event of a tie, the Chairman has the casting vote.

The Director, the Accounting Officer and the Budget Controller participate in the work of the Board in an advisory capacity.

Le conseil d’administration se réunit au moins trois fois par an sur convocation de son président. La convocation du conseil est de droit lorsqu’elle est demandée par le ministre chargé de la santé ou par un tiers au moins des membres du conseil.

Le président fixe l’ordre du jour où figurent obligatoirement les points ayant fait l’objet d’une demande formulée par le ministre chargé de la santé ou par un tiers au moins des membres du conseil.

Le conseil siège valablement si au moins la moitié de ses membres sont présents. Dans le cas contraire, une nouvelle séance se tient après un délai de quinze jours sans obligation de quorum.

Les délibérations sont prises à la majorité des membres présents. En cas de partage égal des voix, celle du président est prépondérante.

Le directeur, l’agent comptable et le contrôleur budgétaire participent avec voix consultative aux travaux du conseil d’administration.
