Article R123-171-1 of the French Commercial code

The notice provided for in Article 14 of Council Regulation (EC) No 2157/2001 on the Statute for a European Company (SE) of 8 October 2001, in the event of the registration and deletion of a European Company, shall be drawn up and sent, by the Registrar who carries out such registration and deletion, to the authority responsible for the Official Journal of the European Communities, at the latest within the period referred to in Article R. 123-161.

This notice, which includes the information provided for in the second sentence of 1° of Article 14 of these regulations, is drawn up in accordance with a model defined by order of the Minister of Justice.

Where applicable, the Registrar shall indicate that the deletion results from a transfer to another Member State of the registered office of a European Company registered in France.

L’avis prévu à l’article 14 du règlement (CE) n° 2157/2001 du Conseil relatif au statut de la société européenne (SE) du 8 octobre 2001, en cas d’immatriculation et de radiation d’une société européenne, est établi et adressé, par le greffier qui procède à celles-ci, à l’autorité chargée du Journal officiel des Communautés européennes, au plus tard dans le délai mentionné à l’article R. 123-161.

Cet avis qui comporte les mentions prévues à la deuxième phrase du 1° de l’article 14 de ce règlement est établi selon un modèle défini par arrêté du garde des sceaux, ministre de la justice.

Le cas échéant, le greffier indique que la radiation résulte d’un transfert dans un autre Etat membre du siège d’une société européenne immatriculée en France.
