Article R123-259 of the French Commercial code

The following shall also be entered in the National Register of Companies, upon declaration by the company at the time of its registration:

1° For commercial companies:

a) In the case of an establishment, its sign;

b) In the case of a business, the fact that it concerns either the creation of a business, the acquisition of an existing business, or a change in the legal status under which it was operated and, in the case of the purchase, auction or division of a business, the title and date of the legal gazette in which the insertion required by Article L. 141-12 was published;

> In the case of a company operating in the retail sector, the title and date of the legal gazette in which the insertion required by Article L. 141-12 was published;

2° For companies in the trades and crafts sector, the status of craftsman or craftswoman provided for by Articles 1st and 2 of Decree no. 98-247 of 2 April 1998 on craft qualifications and the trades and crafts sector, as well as the status of master craftsman or master craftsman in a craft provided for by Article 3 of this decree;

3° For commercial companies or companies in the trades and crafts sector, an indication, for each of the activities concerned, of the following:

> a) In the case of the trades and crafts sector, an indication of the status of master craftsman or master craftsman in the trades and crafts sector, as provided for in Article 3 of this decree
a) Concerning the origin of the activity:

> i) In the case of a management lease
i) In the case of a management lease, the name, working name, pseudonym, forenames and home address of the natural person or the company name and registered office address of the legal entity leasing the business; the start and end dates of the management lease with, where applicable, an indication that the contract is renewable by tacit agreement;

ii) In the case of a management lease, the name, working name, pseudonym, forenames and home address of the natural person or the company name and registered office address of the legal entity leasing the business; the start and end dates of the management lease with, where applicable, an indication that the contract is renewable by tacit agreement
ii) In the case of a management mandate, the name, working name, pseudonym, forenames and home address of the natural person or the corporate name and registered office address of the mandating legal entity, as well as the information provided for in 1° and 2° of Article R. 123-237; the start and end dates of the management mandate contract with, where applicable, an indication that the contract is renewable by tacit agreement;

iii) In the case of a sale plan, the name, working name, pseudonym, forenames and home address of the natural person or the corporate name and registered office address of the mandating legal entity, as well as the information provided for in 1° and 2° of Article R. 123-237; the start and end dates of the management mandate contract with, where applicable, an indication that the contract is renewable by tacit agreement
iii) In the case of a transfer plan, a statement that the management of the transferred business has been entrusted to the transferee pending completion of the acts necessary for the transfer to be completed;

b) With regard to the operating method, in the case of a management mandate, the name, business name, pseudonym, forenames and address of the natural person or the corporate name and registered office address of the legal entity managing the establishment, as well as the information specified in 1° and 2° of article R. 123-237, the dates on which the management-agent contract begins and ends and, where applicable, an indication that the contract is tacitly renewable;

4° For the companies mentioned in 1° of Article L. 561-45-1 of the Monetary and Financial Code, the information referred to in Article R. 561-56 of the same code, within the deadlines set out in Article R. 561-55 of the same code;

5° The itinerant or seasonal nature of the activities carried out and, if applicable, the surface area of the shop(s);

>The status of the employer of the person in question
6° The employer status of the company and, if applicable, of each of its establishments.

Article R123-259

Sont également inscrits, au sein du Registre national des entreprises, sur déclaration de la société à l’occasion de son immatriculation, les éléments suivants :

1° Pour les sociétés commerciales :

a) S’agissant de l’établissement, son enseigne ;

b) S’agissant d’un fonds de commerce, le fait qu’il s’agit soit de la création d’un fonds de commerce, soit de l’acquisition d’un fonds existant, soit d’une modification du régime juridique sous lequel il était exploité ainsi que, en cas d’achat, de licitation ou de partage d’un fonds de commerce, le titre et la date du support d’annonces légales dans lequel a été publiée l’insertion prescrite par l’article L. 141-12 ;

2° Pour les sociétés du secteur des métiers et de l’artisanat, la qualité d’artisan ou d’artisan d’art prévue par les articles 1er et 2 du décret n° 98-247 du 2 avril 1998 relatif à la qualification artisanale et au secteur des métiers et de l’artisanat, ainsi que la qualité de maître artisan ou de maître artisan en métier d’art prévue par l’article 3 de ce décret ;

3° Pour les sociétés commerciales ou du secteur des métiers et de l’artisanat, l’indication, pour chacune des activités concernées, des éléments suivants :

a) S’agissant de l’origine de l’activité :

i) En cas de location-gérance, les nom, nom d’usage, pseudonyme, prénoms et adresse du domicile personnel de la personne physique ou la dénomination sociale et adresse du siège de la personne morale loueuse de fonds ; les dates du début et du terme de la location-gérance avec, s’il y a lieu, l’indication que le contrat est renouvelable par tacite reconduction ;

ii) En cas de gérance-mandat, les nom, nom d’usage, pseudonyme, prénoms et adresse du domicile personnel de la personne physique ou la dénomination sociale et l’adresse du siège social de la personne morale mandante, ainsi que les mentions prévues aux 1° et 2° de l’article R. 123-237 ; les dates du début et du terme du contrat de gérance-mandat avec, s’il y a lieu, l’indication que le contrat est renouvelable par tacite reconduction ;

iii) En cas de plan de cession, l’indication que la gestion de l’entreprise cédée a été confiée au cessionnaire dans l’attente de l’accomplissement des actes nécessaires à la réalisation de la cession ;

b) S’agissant du mode d’exploitation, s’il s’agit d’une gérance-mandat, sont déclarés les nom, nom d’usage, pseudonyme, prénoms et domicile de la personne physique ou la dénomination sociale et l’adresse du siège social de la personne morale gérant-mandataire de l’établissement ainsi que les mentions prévues aux 1° et 2° de l’article R. 123-237, les dates du début et du terme du contrat de gérance-mandat avec, le cas échéant, l’indication que le contrat est renouvelable par tacite reconduction ;

4° Pour les sociétés mentionnées au 1° de l’article L. 561-45-1 du code monétaire et financier, les informations mentionnées à l’article R. 561-56 du même code, dans les délais prévus à l’article R. 561-55 de ce code ;

5° Le caractère ambulant ou saisonnier des activités exercées et, s’il y a lieu, la superficie du ou des magasins ;

6° La qualité d’employeur de l’entreprise et, s’il y a lieu, de chacun de ses établissements.
